WUSN’S “YP.COM- PROMOTION” OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCE OF WINNING.

1. HOW TO ENTER

a. These rules govern YP.com promotion (the “Promotion”) being conducted by WUSN (the “Station”) beginning at 12:01AM Central Time (“CT”) on May 28, 2012 and ending at approximately 12:00PM CT on June 24, 2012 (the “Promotion Period”).

b. To participate in the Promotion, you may enter via one (1) of the following methods:

Online: Log onto http://www.US99.com and follow the links and instructions to enter the Promotion and submit your first name and last name, complete address, city, state, zip code, telephone number, date of birth and a valid email address in the online entry form and (optional) with a photo upload or screen shot of the YP.com app installed front and center, on your mobile device home screen (“Photo Submission”). Only one internet entry per person and one internet entry per email address is permitted. Internet entries will be deemed made by the authorized account holder of the email address submitted at the time of entry. The authorized account holder is the natural person who is assigned to the email address by an internet access provider, online service provider or other organization that is responsible for assigning an email address or the domain associated with the submitted email address. Multiple participants are not permitted to share the same email address. Entries submitted will not be acknowledged or returned. Use of any device to automate entry is prohibited. Proof of submission of an entry shall not be deemed proof of receipt by Station. Station’s computer is the official time keeping device for the Promotion. The Station is not responsible for entries not received due to difficulty accessing the internet, service outage or delays, computer difficulties and other technological problems. All entries must be received by 12:00PM CT on June 24, 2012.

c. Photo Submissions must be the entrants’ original, creative work, and must not be protected by copyright; each entrant must have the right to submit it. The Photo Submission may not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person ’s personal or proprietary rights including but not limited to copyrights or trademarks. The Photo Submission must not contain copyrighted materials or any other materials that may be restricted, prohibited or outlawed by federal, state or local laws. Station, in its sole discretion, reserves the right to disqualify any entry if such entry’s associated Photo Submission or other content contains illegal, indecent, pornographic, sexually explicit content or otherwise offensive material such as aberrational behavior, graphic violence or drug abuse, or if such Photo Submission or other content contains any nudity, material whose content is deemed at the sole discretion of the Station to be unsuitable for public display, broadcast, or posting on the Station’s website (i.e., entries must be radio clean). Entries that do not comply with these rules will not be eligible for the competition.

d. IMPORTANT NOTE: Any entrant who incorporates any intellectual property or material owned by a third party into his or her Photo Submission does so at his or her own risk. Without in any way limiting, expanding or amending the Terms of Use policy residing on US99.com which Terms of Use policy shall remain in full force and effect, if the Station is duly notified that any element of an entrant’s Photo Submission infringes upon the rights of another person and/or receives a legally valid request to remove the affected content from the Website because of such infringement, such content may be removed from the Website and/or disqualified from the Promotion, as the Station may determine in its sole discretion. Further, no entrant will be eligible to receive a prize unless the Station determines, in its sole and absolute discretion that such entrant’s Photo Submission has been or can be sufficiently cleared for legal purposes.

e. Each person who enters this Promotion represents and warrants as follows: (i) the content he/she is submitting does not contain any computer virus (as applicable), is otherwise uncorrupted, is wholly original with entrant, and as of the date of submission, is not the subject of any actual or threatened litigation or claim; (ii) the content does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity; and (iii) the Photo Submission does not and will not violate any applicable laws, and is not and will not be defamatory or libelous. Each entrant hereby agrees to indemnify and hold the Station harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.

2. ELIGIBILITY RESTRICTIONS

a. The Promotion is open to all persons who are 18 years of age or older as of June 24, 2012 and who reside in the following counties within the Station’s radio broadcast signal area: Cook; DuPage, IL; Will, IL; Lake, IL; McHenry, IL; Kane, IL; Lake County, IL, and Porter County, IN. Employees of Yp.com, the Station, its licensee, the licensee’s parent, subsidiary and affiliated entities, Station’s advertising and promotional agencies, its participating sponsors, other radio stations in the Chicago metropolitan area, the members of their immediate families (spouse, parent, sibling or child) and those living in the same household of each (whether related or not), are ineligible to enter or win. This Promotion is subject to all applicable federal, state and local laws and regulations and is void where prohibited. (CBS Radio and the Station shall be collectively referred to as the “Contest Entities”).

b. Only one (1) winner per household is permitted in any Station promotion. Listeners are eligible to win a prize valued at $600 or more in a Station-conducted promotion only once every week.

c. Each winner must provide valid government-issued photo identification and provide their complete address, date of birth and phone number and sign and return all required releases in order to claim prize.

d. Entrants are required to provide truthful information and the Station will reject and delete any entry that it discovers to be false or fraudulent. The Station will disqualify any entry from individuals who do not meet the eligibility requirements. The Station will also delete any entry knowingly received from persons under the age of 13 in compliance with the Children’s Online Privacy Protection Act.

3. PRIZES:

a. One (1) Prize will be awarded and will be provided by the Station. The Prize is two (2) FRONT ROW tickets to see Trace Adkins on Friday, July 20, 2012 at Railto Square Theatre in Joliet, IL. Approximate Retail Value (“ARV”) of the Prize: $170.00. Valid Dates: Friday, July 20, 2012.

b. All federal, state and local taxes on the Prize are solely the responsibility of the Prize Winner. Certain travel restrictions may apply. Travel arrangements must be made through Station’s designee or agent on a carrier of the Station’s choice. Expiration dates will not be extended, and tickets will not be refundable or redeemable for cash or credit at any time, nor will tickets be replaced if lost or stolen. Tickets may not be sold to a third party.

c. Prize is subject to availability. If Prize winner cannot attend the US99.5 Show with Trace Adkins on dates specified by the Station, the Prize winner may be disqualified and an alternate winner may be selected in the Station’s sole discretion. All other costs not specifically stated herein, including but not limited to those of, taxes, tips and ground transportation to/from Railto Square Theatre, are the responsibility of the winner. If applicable, the winner may be required to present a valid credit card upon hotel check in to cover any incidental expenses incurred during the winner’s stay. The winner and guest(s) may be required to sign a Publicity and Liability Waiver form prior to attending the US99.5 Show. If a selected event is unable to take place as scheduled, for reasons such as cancellation, preemption, postponement or unavailability, or for any reason beyond the control of the Station, the Station’s sole responsibility to Prize Winner will be to award the remaining available portion of the prize and no substitution will be provided for unawarded portion of prize. Prize is subject to terms and conditions as specified by issuer. The Station reserves the right to remove or to deny entry to the winner and/or travel companion if either engages in a disruptive manner or with intent to annoy, abuse, threaten or harass any other person at the concert.

d. No prize substitutions, cash equivalent, or transfer of prizes permitted except at the sole discretion of the Contest Entities. Prize subject to availability and the Contest Entities reserve the right, at their sole discretion, to award a prize of greater or equal value if the advertised prize is unavailable. Any other costs and expenses associated with acceptance and use of the prize not described herein is the responsibility of the winner.

e. All prizes or prize certificates may be picked up at the office of the Station during regular business hours at the address below. The Prize winner will forfeit prize if not claimed within three (3) days of notification. In the event that a prize or prize certificate is mailed to the winner, it will be with the prior written consent of the winner and therefore, winner assumes the risk of its loss. The Station is not responsible for the safe arrival of a prize or prize certificate.

4. SELECTION OF WINNERS

a. Decisions of the Station management with respect to the Promotion are final.

b. On June 25, 2012 at approximately 9:00AM CT, one (1) potential Prize Winner will be selected in a random Station-conducted drawing from all entries received during the Promotion Period.

c. Entrants need not listen to the Station nor be present to win.

d. Odds of winning depend upon the number of eligible online entries received.

e. Prize winner will be notified by the Station by phone and email immediately following the Prize winner drawing. If the Prize winner cannot be reached within three (3) days of first notification attempt, winner forfeits prize and an alternate winner will be selected in a random drawing from all remaining entries. The Station will give the prize winner three (3) days to respond.

f. The winner must execute and return any required affidavit of eligibility and/or liability/publicity release within five (5) days of being notified by the Station or prize will be forfeited and an alternate winner may be selected by a random drawing from remaining entries or runner-up prize winners, whichever applies. If a potential winner cannot be contacted, fails to sign and return the required affidavit of eligibility and/or liability/publicity release within the required time period, or if a prize or prize notification is returned as undeliverable, the potential winner forfeits the prize.

5. CONDITIONS

a. Payments of all federal, state and local taxes are solely the responsibility of the winner. The winner will be required to complete and submit an IRS Form W-9 with the winner’s full Social Security Number or the equivalent for receipt of any prize valued at $600 or more or for any prizes awarded by the Station (or any other CBS Radio station in Station’s market) in a calendar year with an aggregate value of $600 or more. Failure to submit a complete W-9 or equivalent will result in forfeiture of the prize. Such winnings of $600 or more will be reported to the IRS.

b. By participating in the Promotion, the winner agrees to have the winner’s name, voice and likeness used in any advertising or broadcasting material relating to the Promotion without additional financial or other compensation, and, where legal, to sign a publicity release confirming such consent prior to acceptance of the prize.

c. Prior to awarding any prize or prize certificate, the Station, in its sole discretion, may require Promotion winner (and any travel companion(s) or guest(s)) to sign a liability release, agreeing to release and hold harmless the Promotion Entities, the Station, its licensee, the licensee’s parent, subsidiary and affiliated entities, their respective officers, shareholders, directors, employees, agents and representatives and all of their successors and assigns from and against any and all claims or liability arising directly or indirectly from the prize and participation in the Promotion.

d. If for any reason this Promotion cannot be executed as planned, including, but not limited to, as a result of infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Station that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Promotion, or if the Promotion is compromised or becomes technically corrupted in any way, electronically or otherwise, the Station reserves the right to cancel, terminate or modify the Promotion. If the Promotion is terminated before the original end date, the Station reserves the right to select the winners by random drawing from among all eligible non-suspect entries received as of the termination time/date or otherwise modify the procedure for selecting winners.

e. The Station, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the Station’s website. Failure to comply with the rules of the Promotion may result in a contestant’s disqualification and/or forfeiture of any prize or prizes. If the Station makes a good faith determination that an entrant has cheated or committed fraudulent activity in connection with a Promotion, the Station reserves the right to disqualify that entrant from entering and/or winning future Promotions and to prosecute and seek damages to the fullest extent permitted by law.

f. The Station reserves the right to make changes in the rules of the Promotion, including, without limitation, the substitution of a prize of equivalent value, which will become effective upon announcement. If due to circumstances beyond the control of the Station, any competition or prize-related event or travel is delayed, rescheduled, postponed or cancelled, the Station reserves the right, but not the obligation, to cancel or modify the Promotion and shall not be required to award a substitute prize.

g. The Station is not responsible for typographical or other errors in the printing, the offering or the administration of the Promotion or in the announcement of a prize.

h. For a copy of these Official Rules, send a self-addressed stamped envelope for receipt by June 24, 2012 to “YP.com – Official Rules,” Attn: Promotions, WUSN – Two Prudential Plaza 180 N. Stetson, 10th Floor Chicago, IL 60601. For the names of the prize winners send a self-addressed stamped envelope for receipt by August 24, 2012 to the above address marked “YP.com – Winner List.” The Official Rules and the Winner List (when completed) shall also be available during regular business hours at the main offices of the Station and may be posted online at http://www.US99.com.

6. PRIVACY

a. By use of the Station’s website or by entering the Contest through the Station’s website, you agree to the website’s Terms of Use Agreement located at http://www.US99.com and to the use of your personal information as described in the Privacy Policy located at http://www.US99.com
